1. Agreement to Terms

By accessing or using the sensei. website (scmsensei.ai) or the sensei. platform (collectively, the “Service”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, you must not use the Service.

These Terms form a legally binding agreement between you (or the organisation you represent) and SCM SENSEI AI LTD.(“sensei.”, “we”, “us”, or “our”).

2. Eligibility

You must be at least 18 years old and have the authority to enter into a binding agreement on behalf of yourself or your organisation. By using the Service, you represent that you meet these requirements.

3. Account Registration

To access most features you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Keep your credentials confidential and not share them with others
  • Notify us immediately of any unauthorised use of your account
  • Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are used fraudulently.

4. Subscriptions and Payments

  • Plans: sensei. offers free and paid subscription plans. Feature availability varies by plan.
  • Billing: Paid plans are billed in advance on a monthly or annual basis via Stripe. All fees are shown before purchase and are exclusive of applicable taxes.
  • Renewals: Subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date.
  • Refunds: Payments are generally non-refundable except where required by applicable law or at our sole discretion. Contact us within 7 days of a charge if you believe it was made in error.
  • Price changes: We may change our pricing with 30 days' notice. Continued use after the notice period constitutes acceptance.

5. Acceptable Use

You may use the Service only for lawful purposes. You must not:

  • Upload content that is unlawful, harmful, or infringes third-party intellectual property rights
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service
  • Use automated tools (scrapers, bots) to access the Service without our prior written consent
  • Probe, scan, or test the security of the Service without authorisation
  • Resell, sublicense, or otherwise commercialise access to the Service without our written permission
  • Circumvent or disable any access controls or rate limits
  • Use the Service to train competing AI models or datasets

6. Intellectual Property

  • Our IP: The Service, including its software, design, trademarks, and AI models, is owned by SCM SENSEI AI LTD. or its licensors. Nothing in these Terms grants you ownership of our intellectual property.
  • Your content: You retain ownership of any data, files, or content you upload to the Service. By uploading content, you grant us a limited, non-exclusive licence to process it solely to provide the Service to you.
  • AI outputs: Outputs generated by sensei. are provided for informational purposes. You may use them for your internal business purposes, but you must not represent AI-generated outputs as independently verified advice.

7. AI Outputs and Disclaimer

sensei. uses AI to generate analysis, recommendations, and draft documents. These outputs are provided for informational purposes only and do not constitute professional supply chain, financial, legal, or procurement advice.

AI outputs may contain errors, inaccuracies, or omissions. You are solely responsible for verifying outputs before acting on them. We do not accept liability for decisions made based on AI-generated content.

8. Confidentiality

You may access non-public information about the Service (“Confidential Information”). You agree not to disclose it to third parties without our consent, and to protect it with at least the same care you apply to your own confidential information.

We treat your uploaded data as confidential and will not share it with third parties except as described in our Privacy Policy.

9. Availability and Changes

We aim for high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable. We are not liable for any loss caused by such changes.

10. Third-Party Services

The Service may integrate with or link to third-party services (e.g., Stripe, Google). These services are governed by their own terms, and we are not responsible for their content, availability, or practices.

11. Limitation of Liability

To the maximum extent permitted by applicable law, sensei. and its directors, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of (or inability to use) the Service.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) £100.

12. Indemnification

You agree to indemnify and hold harmless SCM SENSEI AI LTD. and its affiliates from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.

13. Termination

Either party may terminate this agreement at any time. You may cancel your account from your account settings or by contacting us. We may suspend or terminate your access immediately if you breach these Terms.

Upon termination, your right to use the Service ceases. Sections that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will do so.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any dispute arising under them shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory local consumer protection laws in your jurisdiction provide otherwise.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
